The agreement between you and Shopify Expert Marketplace when you use our site or services.
These Terms & Conditions ("Terms") govern your access to and use of shopifywebsexpert.com (the "Site") and any design, development, consulting, or support services provided by Shopify Expert Marketplace ("we," "us," "our," "Shopify Expert Marketplace"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By browsing the Site, submitting a contact form, or entering into a project agreement with us, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the Site or engage our Services.
2. Description of Services
Shopify Expert Marketplace provides Shopify store design, theme development and customization, UX/conversion audits, platform migrations, and related support and maintenance services. Specific deliverables, timelines, and pricing for any project are defined in a separate written quote, proposal, or statement of work agreed upon with the client, which forms part of these Terms for that engagement.
3. Quotes, Payment & Invoicing
- All quotes are estimates based on the scope described at the time and may change if the scope changes.
- Unless otherwise agreed in writing, projects require an upfront deposit before work begins, with the remaining balance due per the milestone schedule in your proposal.
- Invoices are due within the timeframe stated on the invoice. Late payments may pause active work until resolved.
- Prices are quoted exclusive of applicable taxes unless stated otherwise.
4. Client Responsibilities
To keep your project on schedule, you agree to provide timely feedback, necessary access credentials (e.g., Shopify admin access), brand assets, and content required to complete the work. Delays in providing these materials may extend project timelines accordingly.
5. Intellectual Property
Upon full payment, you receive ownership of the custom design and code created specifically for your project, excluding any pre-existing tools, frameworks, or proprietary components we use across multiple clients, which remain our property or that of their respective licensors. We may showcase completed work in our portfolio and marketing materials unless you request otherwise in writing.
6. Third-Party Platforms & Apps
Our Services often involve the Shopify platform and third-party apps, themes, or integrations. We do not control and are not responsible for the pricing, availability, performance, or policies of Shopify or any third-party app or service. Your use of such platforms is subject to their own terms.
7. Revisions & Project Changes
Each project includes a defined number of revision rounds as outlined in your proposal. Requests beyond the agreed scope or revision count may be billed as additional work at our standard rates, communicated to you before proceeding.
8. Warranties & Disclaimers
We provide our Services with reasonable skill and care. However, the Site and Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific sales, traffic, or conversion outcomes from any design or development work, as these depend on many factors outside our control.
9. Limitation of Liability
To the maximum extent permitted by law, Shopify Expert Marketplace shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost data, arising from your use of the Site or Services. Our total liability for any claim relating to a project is limited to the amount you paid us for that specific project in the six months preceding the claim.
10. Termination
Either party may terminate an active project engagement with written notice as specified in the applicable proposal or statement of work. Upon termination, you are responsible for payment for all work completed up to the termination date. Refund eligibility for terminated projects is governed by our Refund Policy.
11. Governing Law
These Terms are governed by the laws of the jurisdiction in which Shopify Expert Marketplace is registered to operate, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of that jurisdiction unless otherwise agreed in a signed project contract.
12. Changes to These Terms
We may revise these Terms from time to time. Updates take effect once posted to this page, with the "Last Updated" date revised accordingly. Continued use of the Site or Services after changes constitutes your acceptance of the updated Terms.
